Terms of Service

1. Agreement to Terms

By accessing and using SBM Schools ("the Service," "the Platform," or "our Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

SBM Schools is owned and operated by Papa Mends IT Solutions also known as PM IT Solutions ("Company," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and PM IT Solutions.

2. Description of Service

SBM Schools is a cloud-based school management platform designed to help educational institutions in Ghana manage their academic and administrative operations. Our services include but are not limited to:

  • Student Information Management
  • Attendance Tracking
  • Grade and Report Management
  • Revenue and Payment Processing
  • Communication Portal
  • Exeat Management
  • Online Admission System
  • Student Portals

3. User Accounts and Registration

3.1 Account Creation

  • You must create an account to access all modules of our Service
  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized use of your account

3.2 Account Types

Administrator Accounts

For school management and administrative staff

Staff Accounts

For teaching and non-teaching staff to manage personal and academic activities

Student Accounts

For students to access their academic information

3.3 Account Responsibilities

You are responsible for all activities that occur under your account. You must not share your login credentials with unauthorized persons and must use the Service in accordance with your assigned role and permissions.

4. Acceptable Use Policy

4.1 Permitted Uses

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for legitimate educational and administrative purposes.

4.2 Prohibited Uses

You agree NOT to use the Service:

  • For any unlawful purpose or to solicit others to perform unlawful acts
  • To violate any applicable local, national, or international law or regulation
  • To transmit or procure the sending of any advertising or promotional material
  • To impersonate or attempt to impersonate another user or person
  • To engage in any other conduct that restricts others' use of the Service

5. Data Protection and Privacy

We are committed to protecting your privacy and the confidentiality of student and staff data. Please review our Privacy Policy for detailed information about how we collect, use, and protect your data.

5.1 Data Ownership

You retain ownership of all data you input into the Service. We do not claim ownership of your content or data. However, you grant us a moderate permission to use your data solely to provide and improve our services.

5.2 Data Security

We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the Internet is 100% secure. So you must also take all the necessary security measures to protect your account details.

5.3 Student Data Protection

We are registered with the Data Protection Commission of Ghana and fully comply with the Data Protection Act, 2012 (Act 843). Student data is collected and processed solely for legitimate educational purposes, in accordance with applicable legal and regulatory requirements. We do not share or sell student information to third parties under any circumstances.

6. Payment Terms

6.1 Subscription Fees

The use of our system does not require any subscription fees. Access to all standard features is provided free of charge to registered schools and institutions.

6.2 Payout Processing Fees

A standard processing fee of 1.5% is applied to all payout requests made by schools for their accrued revenue. This fee covers transaction and administrative costs and is automatically deducted from the total payout amount.

6.3 Payment Processing

Payments are processed through secure third-party payment processors. By providing payment information or requesting a payout, you authorize us to process the applicable amounts through your selected payment method or account.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of PM IT Solutions and its licensors. The Service is protected by copyright, trademark, and other laws.

7.2 Your Intellectual Property

You retain all rights to any content you submit, post, or display on or through the Service. By using the Service, you grant us a non-exclusive, worldwide license to use, reproduce, and display your content solely for the purpose of providing the Service.

8. Service Availability

8.1 Uptime Commitment

We strive to maintain 99.9% uptime for our Service. However, we do not guarantee that the Service will be available at all times. The Service may be subject to planned maintenance or unexpected downtime.

8.2 Service Modifications

We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. We shall not be liable for any modification, suspension, or discontinuance of the Service.

9. Limitation of Liability

Our liability is limited as described below. Please read this section carefully.

In no event shall PM IT Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability to you for all claims arising out of or relating to the use of or any inability to use any portion of the Service shall not exceed the amount you paid us for the Service in the twelve (12) months prior to such claim.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately.

10.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

10.3 Effect of Termination

Upon termination, your data will be available for download for thirty (30) days, after which it may be deleted. We will provide reasonable assistance in data export upon request.

11. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ghana.

If you are a consumer, you may have additional rights under local consumer protection laws, and nothing in these Terms is intended to affect those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
